NEW YORK, June 7 (Reuters) - 3D Systems Corp <TDSC.O> and DTM
Corp <DTMC.O>, which in early April said they plan to merge in a
$45 million deal, said on Thursday they would extend the deadline
for the tender offer after U.S. antitrust authorities filed a
lawsuit to block the proposed merger.
The two companies said in a joint announcement they extended the
offer to allow more time to consider alternatives and to prepare
for defence of the civil action filed on Wednesday by the
Antitrust Division of the U.S. Department of Justice.
The Valencia, California-based 3D Systems, which said it would
acquire all outstanding shares of DTM for $5.80 a share, or about
$45 million, said the new deadline for the tender offer is
midnight Eastern time on June 18.
The tender offer had originally been scheduled to expire at
midnight on June 7.
"We believe the government's case is without merit, and we intend
to vigorously defend the legality of the transaction," Brian
Service, 3D Systems' president and chief executive officer, said
in a statement.
The Department of Justice filed the suit saying the combination
of the two companies would reduce competition in the field of
transforming computer designs into three-dimensional objects.
The DOJ said the companies offer the most sophisticated systems
in the industry and compete directly against each other in the
development, manufacture and sale of so-called industrial rapid
prototyping systems and materials.
John Murchison, president and chief executive of the Austin-based
DTM, said in a statement he likewise believes the government's
case is without merit.
"We remain committed to the transaction, which we continue to
believe adds value for our shareholders as well as our customers,
" Murchison said.
The design process at issue is used to speed the manufacture of
everything from mobile phones to medical devices and is replacing
old methods of developing prototypes such as machining, milling
or grinding.
The proposed combination would give the new company about 80
percent of the market based on revenue and reduce the number of
competitors in the industry to two, according to the Justice
Department.

3D Systems Corp. (Nasdaq:TDSC) and DTM Corp. (Nasdaq:DTMC) today
announced that they have agreed to extend the expiration date of
the tender offer for all the outstanding shares of common stock
of DTM until midnight Eastern time on Monday, June 18, 2001. The
tender offer had been scheduled to expire at midnight Eastern
time, on Thursday, June 7, 2001.
3D Systems and DTM agreed to extend the offer in order to provide
additional time to consider alternatives and to prepare for

acquisition by 3D Systems of DTM.
